IMPORTANT & LEGALLY BINDING NOTICE
PLEASE READ THIS MASTER AGREEMENT EXHAUSTIVELY. THIS DOCUMENT CONSTITUTES A BINDING CONTRACT BETWEEN THE OPERATOR OF WWW.QUOTEMYSHED.COM ("THE COMPANY", "WE", "US", OR "OUR") AND ANY NATURAL PERSON, CORPORATE ENTITY, OR PARTNERSHIP ACCESSING THE PLATFORM (COLLECTIVELY DEFINED AS "USERS," AND CATEGORICALLY AS "CUSTOMERS" OR "SUPPLIERS").
BY BROWSING THE PLATFORM, SOLICITING QUOTATIONS, REGISTERING A SUPPLIER PROFILE, OR PAYING A SUBSCRIPTION FEE, YOU EXPRESSLY ACKNOWLEDGE UNCONDITIONAL ACCEPTANCE OF THIS AGREEMENT. IF YOU DISAGREE WITH ANY SUB-CLAUSE, CONTEXTUAL EXCLUSION, RESUBCRIPTION MANDATE, OR LIABILITY CAP CONTAINED HEREIN, YOU ARE DENIED ACCESSS TO THE PLATFORM AND MUST TERMINATE USE IMMEDIATELY.
1. RECITALS, CORPORATE FORMATION, AND ROLES
1.1 Corporate Structure Pending Launch
The Platform is currently operated by www.quotemyshed.com. Users and Suppliers explicitly acknowledge and agree that upon the formal incorporation of the platform as a registered UK Limited Company ("the Company"), all rights, titles, benefits, duties, and liabilities under this Agreement shall automatically assign and transfer to said incorporated entity without requiring prior notice or additional user consent.
1.2 Separation of Contractual Relations
The Platform operates strictly as an autonomous, non-transactional digital matching framework.
The Platform Contract: This document governs your structural relationship with the Company regarding your use of the Website and paid lead access.
The Independent Contract: Any communication, quotation, invoice, transaction, delivery, installation, or dispute involving the purchase or manufacturing of steel frame buildings occurs strictly via an independent, external contract executed directly between the Customer and the Supplier (a "Third-Party Agreement"). The Company is not a party to, third-party beneficiary of, or guarantor of any such Third-Party Agreement.
2. COMMERCIAL SUPPLIER SUBSCRIPTION TERMS (B2B MATRICES)
This Section 2 applies exclusively to commercial entities registered on the platform as Suppliers.
2.1 Subscription Structure and Access Term
Upon payment of the prescribed set fee, the Company grants the Supplier a non-exclusive, non-transferable account profile providing access to unlimited customer job leads generated via the Platform for a fixed term of twelve (12) consecutive months (the "Subscription Term").
2.2 Unilateral Right to Alter Subscription Pricing
The Company operates in a dynamic macroeconomic environment. Accordingly, the Company reserves the absolute, unilateral right to adjust, alter, increase, or structurally modify the set cost of its 12-month subscription at any time to account for inflation, economic growth, market shifts, platform infrastructure upgrades, or operational overheads.
Application to Existing Users: Any price adjustment made mid-term will not affect an active, fully paid 12-month Subscription Term.
Application to Renewals: The revised pricing model shall apply automatically to any subsequent, consecutive, or renewed 12-month Subscription Term initiated by the Supplier after the date of the published price adjustment.
2.3 Lead Quality & "No-Refund" Policy
Nature of Leads: The Company aggregates consumer inputs to generate leads. The Company provides zero warranties, representations, or guarantees regarding the conversion rate, creditworthiness, commercial intent, authenticity, or ultimate transactional value of any lead delivered.
Absolute Absolute No-Refund Baseline: Due to the instant delivery of digital leads, all payments made by Suppliers for the 12-month access term are 100% non-refundable. No partial or pro-rata refunds will be issued under any circumstances, including but not limited to: a Supplier's dissatisfaction with lead volumes, early account deletion, or localized commercial changes.
3. SCOPE OF LICENSING & DATA EXCLUSIVITY (ANTI-SCRAPING)
3.1 Grant of Revocable License
Subject to strict compliance with this Agreement, the User is granted a narrow, non-exclusive, non-transferable, revocable license to view Platform Content via a standard consumer web browser solely for legitimate, non-competing business evaluation or personal shopping.
3.2 Express Anti-Mining Prohibitions
The license granted under Section 3.1 is automatically revoked ab initio if the User or any agent thereof engages in automated data querying, deploying scraping software, deep-linking protocols, automated spiders, crawlers, harvesting bots, or data-mining scripts designed to extract Supplier lists, user directories, historical pricing data, or layout templates from the Platform database.
4. SEPARATION OF LIABILITY STRATEGY (CUSTOMER VS. SUPPLIER)
4.1 Affirmative Covenants for Customers (Buyers)
The Customer explicitly acknowledges that steel-frame buildings constitute complex, high-risk structural engineering assets. Consequently, the Customer agrees that:
The Due Diligence Burden: The Company does not verify the ongoing solvency, credit ratings, insurance validity, or physical manufacturing capabilities of any listed Supplier. The Customer retains the non-delegable duty to verify that a Supplier possesses valid public liability insurance, professional indemnity coverage, and robust corporate registration before paying any deposits.
Statutory Clearances: The Customer assumes 100% responsibility for investigating and procuring all necessary municipal planning approvals, zoning variances, building control approvals, and ground/foundation engineering surveys required by local laws.
4.2 Representations and Compliance Codes for Suppliers
Any Supplier interacting with, listed upon, or receiving leads from the Platform represents and warrants to both the Company and prospective Customers that all designs, fabrications, and building components delivered will aim to satisfy the standard local engineering mandates, including but not limited to:
United Kingdom: BS 5502-22, BS EN 1090 (Execution of steel structures / UKCA marking metrics), and BS EN 1993.
European Union: EN 1090.
United States of America: AISC 360 in tandem with regional International Building Code (IBC) guidelines.
Australia / New Zealand: AS/NZS 4100 and associated National Construction Code (NCC) standards.
5. GLOBAL WARRANTY EXCLUSIONS & LIMITATION OF LIABILITY
5.1 "As-Is" and "As-Available" Operational Disclaimers
THE PLATFORM, INCLUDING ALL CALCULATORS, SYSTEM DIRECTORIES, METRIC ESTIMATORS, AND LEAD INTAKE PIPELINES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" STRUCTURAL BASIS. TO THE MAXIMUM LIMIT PERMITTED UNDER APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPLICIT, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SUITABILITY, OR FITNESS FOR A PARTICULAR INDUSTRIAL APPLICATION.
5.2 Comprehensive Exclusion of Consequential Damages
UNDER NO LEGAL THEORY (WHETHER UNDER TORT, NEGLIGENCE, STRICT PRODUCT LIABILITY, CONTRACT BREACH, OR FRAUD OVERHEAD) SHALL THE COMPANY, ITS DIRECTORS, SHAREHOLDERS, EMPLOYEES, OR AGENTS BE LIABLE TO ANY USER, SUPPLIER, OR THIRD PARTY FOR INDIRECT, SPECIAL, INCIDENTAL, SPECIFIC, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSSES OR DAMAGES. THIS EXTENSIVE DISCLAIMER EXCLUDES, WITHOUT LIMITATION:
Commercial Deficits: Loss of business revenue, loss of industrial profits, forfeiture of commercial deposits, corporate bankruptcy or financial insolvency of an introduced Supplier or Customer, or failure of down-payments.
Physical and Engineering Deficits: Site-wide structural collapse, personal injury, structural deterioration, structural steel flaws, or delays in construction timelines.
5.3 Absolute Liability Cap
SHOULD A COURT OF COMPETENT JURISDICTION OVERRULE SECTION 5.2 AND ESTABLISH COMPANY LIABILITY, THE TOTAL AGGREGATE FISCAL LIABILITY OF THE COMPANY FOR ANY AND ALL CLAIMS ARISING FROM OR CONCERNING THE UTILIZATION OF THE PLATFORM SHALL NEVER EXCEED THE EXACT AMOUNT PAID BY THE SPECIFIC USER TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR £100.00 (ONE HUNDRED POUNDS STERLING), WHICHEVER IS HIGHER.
6. USER-GENERATED CONTENT (UGC) AND MEDIA RIGHTS
If a User uploads text reviews, structural layout images, CAD models, site photographs, or video files ("User-Generated Content") to the Platform, they hereby grant the Company an irrevocable, perpetual, worldwide, sub-licensable, fully paid-up, royalty-free, non-exclusive license to host, archive, modify, reproduce, distribute, and publicly display such content for marketing, platform optimization, and operational purposes across any historical or future digital channels.
7. GOVERNING LAW, FORUM SELECTION, AND CLASS-ACTION LIMITATIONS
7.1 Governing Law and Forum
This Agreement, its interpretation, structural formation, and any non-contractual legal claims or disputes arising out of its terms shall be governed strictly and exclusively by the laws of the United Kingdom. All parties irrevocably agree that the Courts of England and Wales shall possess exclusive jurisdiction to settle any litigation arising out of or in connection with this Master Agreement.
7.2 Waiver of Class-Action Processes
TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE PURSUED SOLELY IN AN INDIVIDUAL CAPACITY. THE USER EXPRESSLY WAIVES ANY RIGHTS TO PARTICIPATE AS A COMPLAINANT OR CLASS COMPONENT IN ANY MULTI-PARTY LITIGATION, REPRESENTATIVE ACTION, OR CLASS-ACTION ARBITRATION PROCEEDINGS AGAINST THE COMPANY.
8. MISCELLANEOUS PROVISIONS
Severability: If a competent judicial authority finds any clause or sub-section of this agreement to be invalid, illegal, or completely unenforceable, that specific clause shall be modified to the minimum extent necessary to make it valid, and the remaining legal clauses shall continue in full force.
Entire Agreement: This framework represents the entire legal agreement between the User and the Company regarding platform utilization, rendering all prior marketing pitches, emails, or verbal representations completely null and void.
